Business succession planning or planning for the successful sale of a privately-owned business is often the most important and most difficult planning in the life of a business. And, the most successful business succession planning starts years before the actual transition.

In the case of one family we represent, we advised the first generation owners of a family business in the transfer of the management of the business to the second generation family members who had proven themselves able to manage the business while transferring ownership of the business (worth over $175,000,000) equally to all second generation family members at an estate tax cost of less than $25,000,000 – an effective overall estate tax rate of 14.3% during a period that the estate tax rates applicable to the first generation’s estates ranged from 45% to 55%.

Mr. Hughes has been certified by the Texas Board of Legal Specialization as a specialist in Estate Planning and Probate Law. He is the coordinator for the firm's Estate Planning and Administration Practice Group. Mr. Hughes represents individuals, families, and business owners in matters relating to the management, transfer, and preservation of their assets, including income, gift, estate, and generation-skipping tax planning, trust and estate administration, and representation before the I.R.S. and federal and state courts. Mr. Hughes' practice includes the preparation of wills, trusts, business entity organizational documents (including family limited partnerships), shareholder agreements, buy-sell agreements, marital property agreements, and other estate planning, asset protection, charitable gift planning and business succession documents. Mr. Hughes has experience in the formation and representation of corporations, partnerships, limited liability companies, not-for-profit corporations, and private foundations. Additionally, he represents beneficiaries and fiduciaries in contested litigation, including estates, trusts, and tax issues.
